Terms and Conditions

These Terms & Conditions govern participation in the Penrose Physical Therapy (“Penrose PT”) Wellness Membership Program. By enrolling in a membership, the client (“Member”) agrees to the terms outlined below.

1. Purpose of the Wellness Membership

This Wellness Membership is governed by and interpreted in accordance with the laws of the State of Indiana. All services are provided in compliance with applicable Indiana state regulations governing physical therapy, wellness services, and professional licensure.
The Penrose PT Wellness Membership is designed to support ongoing wellness, maintenance, prevention, and performance-based care following completion of a formal physical therapy plan of care or for individuals seeking proactive movement support.

Membership services are non-medical wellness services and are not intended to replace medically necessary physical therapy, diagnosis, or treatment for acute injury or illness.

2. Membership Services

Membership benefits may include, depending on the selected tier:

  • A defined number of wellness or maintenance physical therapy sessions per month

  • Priority scheduling access and waitlist priority

  • Access to member-only educational offerings or events

  • Select complimentary wellness add-ons

  • Retail product discounts

Specific inclusions are outlined in the Member’s selected plan and may vary by tier. Membership benefits are non-transferable, unless otherwise specified in writing by Penrose PT.

3. Payment Terms & Billing Cycle

  • Memberships are billed on a recurring monthly basis using the payment method on file.

  • The billing date corresponds to the enrollment date and recurs monthly unless paused or canceled in accordance with these terms.

  • Members are responsible for maintaining an active and valid payment method.

  • Failed payments may result in suspension of membership benefits until payment is resolved.

Membership fees are separate from and do not apply toward regular skilled physical therapy services or initial evaluations.

4. Minimum Term & Cancellation Policy

  • Memberships require a minimum commitment of three (3) months from the enrollment date.

  • After the initial three-month term, memberships continue on a month-to-month basis.

  • Members may cancel their membership with thirty (30) days written notice submitted via email or in person.

  • Membership fees are not prorated for partial months.

5. Administrative Pause & Clinical Transition Policy

Penrose PT reserves the right to administratively pause a membership under the following circumstances:

  • The Member experiences a new injury, exacerbation, or condition requiring skilled physical therapy care at a frequency or intensity beyond wellness or maintenance services.

  • The treating clinician determines that a new plan of care is medically appropriate.

During an administrative pause:

  • Membership billing will be temporarily suspended.

  • The Member will transition to standard physical therapy services billed at the applicable session rate.

  • Membership benefits will not be available during the pause period.

Once the Member completes their plan of care and returns to a wellness or maintenance status, the membership may be reactivated without restarting the minimum term.

6. Rate Lock Benefit

Active Members may be eligible for a rate lock benefit, allowing them to receive skilled physical therapy services at their prior wellness session rate during a temporary transition back to formal care.

  • Rate lock eligibility is limited to the duration specified at enrollment and may be modified or discontinued with advance notice.

  • Rate lock does not apply to initial evaluations, which are billed separately at the published evaluation rate.

7. Scheduling & Attendance

  • Membership sessions must be scheduled in advance and are subject to therapist availability.

  • Priority scheduling refers to early access to select appointment times and cancellation openings; it does not guarantee same-day or immediate appointments.

  • Missed appointments or late cancellations may result in forfeiture of that session, consistent with Penrose PT’s cancellation policy.

Unused sessions may not roll over unless explicitly stated in the Member’s plan.

8. Scope of Care & Compliance

  • Membership services are not billable to insurance and are provided on a cash-pay basis.

  • Membership services do not establish or replace a medical plan of care.

  • Penrose PT clinicians retain full professional discretion regarding appropriate level of care, treatment recommendations, and transitions between wellness and skilled services.

  • Services are provided in accordance with Indiana Code Title 25, Article 27.5 (Physical Therapy Practice) and applicable professional standards.

9. Modification or Termination of Membership Program

Penrose PT reserves the right to:

  • Modify membership offerings, benefits, or pricing with advance written notice

  • Discontinue the membership program if necessary

Changes will not affect the minimum term already completed but may apply to future billing cycles.

10. HIPAA Acknowledgment & Privacy Practices

The Member acknowledges receipt of and agreement with Penrose Physical Therapy’s Notice of Privacy Practices, provided separately as part of the standard intake process.

The Member understands that protected health information (PHI) may be used and disclosed in accordance with the Health Insurance Portability and Accountability Act (HIPAA) and applicable Indiana privacy laws for purposes of treatment, payment, and healthcare operations.

Participation in the Wellness Membership does not alter Penrose PT’s obligations under HIPAA.

11. Force Majeure

Penrose PT shall not be liable for delays, interruptions, or inability to provide services due to events beyond its reasonable control, including but not limited to acts of God, severe weather, public health emergencies, government orders, power outages, facility damage, or staffing shortages related to such events.

In the event of a force majeure occurrence, Penrose PT reserves the right to temporarily suspend services or membership benefits without penalty. Membership billing may be paused or adjusted at Penrose PT’s discretion during such periods.

12. Acknowledgment & Electronic Consent

Penrose PT reserves the right to:

  • Modify membership offerings, benefits, or pricing with advance written notice

  • Discontinue the membership program if necessary

10. Acknowledgment & Consent

By enrolling in a Penrose PT Wellness Membership, the Member acknowledges that they have read, understood, and agreed to these Terms & Conditions.

By electronically signing through the Jane App, the Member affirms that they have read, understood, and agree to these Terms & Conditions and consent to electronic records and signatures pursuant to the Indiana Uniform Electronic Transactions Act (IC 26-2-8).
